SofterWare has again been named a
winner of Deloitte & Touche's "Technology Fast 50" Award
for the Delaware Valley area, a ranking of the 50 fastest
growing technology companies in the area. Rankings are
based on the percentage of growth in fiscal year revenues
from 1998-2002 (five year period).

1990 and this acquisition allows us to combine the resources of Starkland

DonorPerfect Online is
now available as an installed enterprise-level solution
for larger nonprofit organizations. Several major nonprofits
have already selected and begun using DonorPerfect Online
for their nationwide campaigns targeted at reaching hundreds
of thousands of donors.

Inc. and Computer Resources Inc. have signed
an agreement to combine their businesses.
SofterWare is a leading provider of administrative
software for child care centers (EZ-CARE2
and KidsCare), camps (EZ-CAMP2) and non-profit
fundraising management (DonorPerfect), and
Computer Resources is a leading provider
of administrative software for public and
private schools (MMS For Schools).

According
to Douglas Schoenberg, CEO of SofterWare, "Computer
Resources is tremendously compatible with
SofterWare since they share our long-standing
commitment to providing high quality products
and services to the field that they serve."

Computer
Resources will operate as an independent
wholly owned subsidiary of SofterWare and
continue under the leadership of its founders,
Ray Perreault and Steven Blain. They will
remain headquartered at their current location
in Barrington, NH.

| The most recent issue of industry newsletter, Soft*Letter, includes their annual ranking of the Top 100 PC software companies and SofterWare was ranked as #91. Although our chance of displacing any of the Top Ten (Microsoft, Adobe, Novell, Intuit, Autodesk, Symantec, Network Assoc., Citrix, Macromedia and Great Plains) is
questionable, we are quite proud to be included on this list.

The
newsletter notes that to be eligible, a company
must be an independent, U.S. based company
(subsidiaries do not qualify) that generates
at least 50% of its revenues from personal
computer software. Because of the particular
definition of personal computer software,
some fairly large software companies (like
Oracle) are not included.

The
ranking is based on fiscal year 2000 revenues
and if our recent merger with Computer Resources
had been completed earlier, our proforma
2000 revenues would have placed us at #86
in the rankings.

This
achievement is unquestionably the result

| The National
Association of Child Care Professionals announced
that SofterWare has been honored with their Corporate
Champions in Child Care Award. Corporate
Champions in Child Care is given annually
to companies that "recognize the importance
of child care and have implemented national
initiatives that substantially support
directors in the quest of increasing quality
child care." SofterWare was recognized
for our 15 years of service to the industry,
as well as for our annual sponsorship of
the NACCP National Director of the Year
Award. The award was presented at the
organization's National Conference in Atlanta,
Georgia.
